We wish to inform you that at the Annual General Meeting (AGM) of the shareholders held on 25th March 2007 the following major decisions ware approved by the shareholders of the company.
Decisions at Annual General Meeting
- The Chairman’s report was read and approved.
- The Corporate Governance Report was read and approved.
- The Balance sheet and profit and loss account for the year 2006 were approved.
- The cash dividend 10% amounting to 0.010 baisas per share amounting to R.O. 1,241,302 was approved.
- The Board meeting attendance fees of R.O.6,000 for the year 2006 was approved. Further Board meeting attendance fee of R.O.500 to the Chairman and R.O.250 per other member of the board was approved for the year 2007.
- The payment of Directors remuneration for the year 2006 amounting to R.O.66,400 was approved.
- The related parties transactions as per note 7 to the audited financials for the year 2006 were approved.
- The related party transaction to be carried out during 2007 was approved. To pay 3% marketing fee to Dariah Management Services CoLLC (DAMAC) on the contracting services income for the year 2007.
- A limit of R.O. 5,000was approved as a contribution to charity during the year 2007.
- M/S.Moore Stephen were appointed the auditors for the year 2007 at a remuneration of R.O.5000.
